Philadelphia Law Firm is looking for a Corporate Paralegal to join their team. The Paralegal should be able to draft and analyze agreements of sale and other related contracts and conveyance documents Draft and negotiate leases, review and prepare lease abstracts Draft all levels of commercial real estate documents including bank finance document Draft/review and analyze easement agreements, license agreements and all documents related to commercial real estate acquisition and sale Review/Summarize title commitments and surveys Schedule and conduct Shareholder and Board of Directors meetings for subsidiaries Perform confidential legal assignments and research requests from attorneys, company management and external sources Draft/analyze corporate contracts and other business agreements Prepare entity formation and dissolution documents and related governance and operating documents. Prepare corporate resolutions and license agreements.

REQUIREMENTS:
Must have corporate real estate experience which is concentrated on transactional work. Assist in all phases of mergers and acquisitions, secured financings and related transactional matters, through closing Draft closing documents (schedules, authorizing resolutions, Officer's Certificates and UCC financing statements) Maintain library of corporate minute books; prepare annual minutes for clients. At least 5 years of experience is need for this position.
